Welcome to OpenOrganoid, a research platform operated by OrganoBit Pte. Ltd., a company incorporated in Singapore ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and services.

By accessing or using OpenOrganoid, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access or use our services.

2. User Accounts and Eligibility

2.1 Account Requirements

We strive to maintain high service availability but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue services with reasonable notice.

4. Data and Intellectual Property Rights

  • You retain ownership of the data you upload to OpenOrganoid
  • You grant us a license to process, store, and display your data as necessary for platform operation
  • You may choose to make data publicly available under appropriate licenses
  • You are responsible for ensuring you have rights to upload and share any data

4.2 Platform Rights

OpenOrganoid platform, including software, design, and AI models, is protected by intellectual property laws. You may not copy, modify, or distribute our platform without explicit permission.

4.3 AI-Generated Content

AI analysis results and insights generated through our platform may be subject to separate terms and licensing conditions. Commercial use of AI-generated content may require premium licensing.

5. Acceptable Use Policy

  • Collaborative research and data sharing
  • Non-commercial academic use
  • Platform testing and evaluation

5.2 Prohibited Activities

You agree not to:

  • Upload false, misleading, or fraudulent data

All research conducted using OpenOrganoid must comply with applicable ethical guidelines, institutional review board requirements, and international research standards.

6.2 Data Compliance

Users must ensure their data uploads comply with all applicable privacy laws, institutional policies, and research ethics requirements in their jurisdiction.

To the maximum extent permitted by law, OrganoBit Pte. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of OpenOrganoid, including but not limited to:

  • Business interruption or lost profits
  • Errors in AI analysis or recommendations
  • Third-party content or services

Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless OrganoBit Pte. Ltd. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your use of the platform
  • Data you upload or share
  • Your violation of any third-party rights

11. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting us.

Upon termination, you will lose access to your account and uploaded data. We may retain certain information as required by law or legitimate business purposes.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of OpenOrganoid shall be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation by a mutually agreed mediator
  3. Final binding arbitration in Singapore under SIAC rules

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through the platform or by email. Continued use of OpenOrganoid after changes constitutes acceptance of the new Terms.
